Subscription Agreement

This Terms of Service Agreement (this “Agreement”) is made and entered into by and between you, as a User (as defined below), and Breakthrough Performance Systems, Inc (“BPS”, Provider” ). This Agreement contains the terms and conditions that govern the use of tru™ Strength Realization platform (the “Platform”) directly, and through its website (https://tru-sr.com) and the associated domains thereof (the “Site”), offers customers the products and services listed at https://gusto.com/product/pricing (as such list may be updated, modified, or otherwise changed from time to time, collectively, the “Services”).

This Agreement is applicable to all persons who use or access the Platform and/or the Services, in their company’s capacity or in an individual capacity, including authorized users representing the company, its employees, or other persons using or accessing the Services (collectively, “Users” and each, a “User”). If User is agreeing to these terms on behalf of a business or an individual other than User, User represents and warrants that User has authority to bind that business or other individual to this Agreement, and User’s agreement to these terms will be treated as the agreement of such business or individual. In that event, “User” also refers to that business or individual. By clicking the applicable button to indicate User’s acceptance of this Agreement, or by accessing or using the Platform, User agrees, effective as of the date of such action, to be bound by the Agreement.

This Subscription Agreement ("Subscription Agreement") is entered into by and between BreakThrough Performance Systems, Inc., a Delaware corporation (the "Provider") and the individual or entity identified on the signature page to this Subscription Agreement who will be provided the right to access and use the tru™ Strength Realization Platform (the “User”).  Capitalized terms used herein and not otherwise defined shall have the meaning set forth in the Glossary of Terms attached hereto in Appendix I.

  1. Subscription

  1. By accepting the terms of this Subscription Agreement, the User is subscribing to use the tru™ Strength Realization Platform pursuant to the terms of the Subscription Plan described in Appendix II (such User selected Subscription Plan, the “User’s Subscription Plan”).  

  1. By accessing and using the tru™ Strength Realization Platform, the User agrees to be bound by the terms and conditions outlined in this Subscription Agreement along with the tru™ Terms of Service (attached hereto in Appendix III) that govern individual access and usage.

  1. Subscription Term; Termination; Renewal

  1. This Subscription Agreement shall commence on the Subscription Start Date and shall remain in effect for the duration of the Subscription Term.

  1. Either party may terminate this Subscription Agreement at any time during the Subscription Term with or without cause by providing written notice to the other party.  If User purchased the Subscription Plan via Provider’s website, User may terminate is its Subscription Plan by contacting Support at support@bp-systems.com or by going to Settings in your account, selecting ‘Cancel’ in the subscription box and then following the onscreen instructions to  cancel/terminate subscription, such action shall be deemed to satisfy the notice requirements for termination of this Subscription Agreement.

  1. In no event shall any termination of this Subscription Agreement prior to the end of any Current Subscription Term entitle the User to reimbursement of any paid subscription fees, pro-rated or otherwise.  

  1. Upon termination, User will no longer have access to the tru™ Strength Realization Platform and any certifications, as applicable, associated with the User’s Subscription Plan (collectively, “Associated Certifications”) shall be deemed to have expired; provided, however, that User will continue to have access to the tru™ Strength Realization Platform  and use of any Associated Certifications pursuant to the terms of the Subscription Plan for the remainder of the Current Subscription Term.  

  1. If User elects to have its Subscription Plan automatically renew as provided in Appendix II (an “Automatic Renewal”), upon receipt of the Subscription Renewal Payment in connection with the Automatic Renewal, the Subscription Plan will automatically renew on the then current terms for such Subscription Plan for an additional twelve (12) months.  

  1. Pricing; Payment Terms.  

  1. Pricing.  

  1. User agrees to pay the Subscription Price for the User’s Subscription Plan as set forth and, in the manner provided in Appendix II.

  1. Provider may change the Subscription Price for the User’s Subscription Plan, at any time during the Subscription Term.  Upon any such change, Provider will provide User with thirty (30) days’ prior notice of any new pricing and the new pricing shall become effective for the next Renewal Term during the Subscription Term.  

  1. Payment Terms. No Subscription Plan shall be activated or renewed prior to full payment of the Subscription Price for the Current Subscription Term as provided in Appendix II.  

  1. Renewal Payment.  If the Susbcripton Plan is set for Automatic Renewal, User authorizes Provider to maintain the account information provided by the User (as provided in Appendix II, the “Payment Account”)) and debit or charge the Payment Account automatically upon the renewal of the Subscription Plan. In such event, no additional action shall be required by the User in support of the renewal of the Subscription Plan. In the event that Provider is unable to apply payment via the Payment Account in connection with the Automatic Renewal of the Subscription Plan, Provider, may, in its sole discretion: (i) bill User for amount due in connection with the Automatic Renewal of the Subscription Plan and suspend User’s access to the tru™ Strength Realization Platform  until payment is received, (ii) seek to update User’s Payment Account through third party sources (i.e., your bank or a payment processor) to continue charging User’s Payment Account as authorized and only activate User’s access to the tru™ Strength Realization Platform upon receipt of full payment, or (iii) terminate User’s access to the tru™ Strength Realization Platform in its entirety as provided herein.

  1. Acceptance.  By executing the Subscription Agreement and accessing and using the tru™ Strength Realization Platform, the User acknowledges that it (i) has read, understood, and agreed to be bound by the terms and conditions of this Subscription Agreement, (ii) agrees to continually meet and maintain compliance with any Certification Requirements associated with the User’s Subscription Plan, and (iii) agrees to be bound by the Terms of Service.
